Terms of use.

Preamble : scope of application

These Terms of Use (hereinafter the " Terms ") are entered into between:

• +Aumetis, a simplified joint-stock company (société par actions simplifiée), with a share capital of EUR 3,000, whose registered office is located at 74 rue du Rocher, 75008 Paris, registered with the Paris Trade and Companies Register under number 943 230 441 R.C.S. Paris, intra-community VAT FR60943230441 (hereinafter the "Company")
• +and any natural or legal person using the TailorLead platform (hereinafter the "User").

These Terms govern access to and use of the TailorLead software platform (hereinafter the "Software").

Every User of the Software is deemed to have read these Terms. Any use of the Software requires that these Terms be reviewed and accepted.

These Terms constitute neither general terms of sale nor general terms of service. Their purpose is to set out the rules that every User of the Software must observe.

2. Description of the services

TailorLead is a software platform for aggregating, structuring, analysing and presenting data, relying in particular on artificial intelligence technologies.

The Services notably allow:

• +the aggregation of public data or data sourced from third-party providers
• +the automated structuring of heterogeneous data
• +the generation of analytical, financial, sector or strategic reports
• +the visualisation and use of information for strictly informational purposes

The Company is neither a financial institution, nor an advisory firm, nor an investment services provider, and provides no financial, legal, tax or regulatory advice.

3. Effective date and term

These Terms take effect on the date they are published online and become enforceable on the date the User first uses the Software.

The User may cease using the Software at any time but remains responsible for any prior use.

4. Purpose of the Terms

The purpose of these Terms is to define:

• +the conditions of access to the Software
• +the terms of use of the Services
• +the rights and obligations of the Parties

The Company reserves the right to amend the Terms at any time. The amended Terms will be notified to the User on the tailorlead.io website and will take effect upon publication.

5. Nature and limits of the Artificial Intelligence System

The Software incorporates an Artificial Intelligence System that is constantly evolving.

The User expressly acknowledges that:

• +the AI System may produce results that are inaccurate, incomplete, outdated or out of context
• +the Outputs may contain approximations or errors ("hallucinations")
• +the results generated in no way constitute factual truth, a recommendation or professional advice

The Outputs must without exception be subject to independent human review, additional checks, and validation by competent professionals.

6. Conditions of access to the Software

Access to the Software is reserved for Users holding an active account.

The Company reserves the right, without notice:

• +to suspend or interrupt access to the Software for maintenance
• +to modify or develop the Services
• +to restrict access to all or part of the Software

No obligation of service continuity is guaranteed.

7. Account creation and management

Account creation is reserved for persons and entities with legal capacity.

Each account is strictly personal, non-transferable, and placed under the sole responsibility of the User.

The User undertakes to provide accurate information, to keep their credentials confidential, and to report any fraudulent use.

8. Account deletion

The User may request the deletion of their account by email to: contact@tailorlead.io

Deletion results in the deactivation of access, without affecting prior obligations.

9. Security

The Company implements appropriate security measures, without any guarantee of absolute security.

The following are strictly prohibited:

• +accessing or remaining fraudulently within all or part of the Software
• +any attempt to alter the Software
• +any automated extraction of data
• +any reverse engineering, prompt injection or technical circumvention

10. Personal data

Data processing is carried out in accordance with the French Data Protection Act (loi Informatique et Libertés) and Regulation (EU) 2016/679 (GDPR).

The User is invited to refer to the Privacy Policy and the Cookie Policy.

11. Liability of the Company

General limitation

The Company does not guarantee the accuracy, completeness, currency or suitability of the Outputs for any specific use.

Exclusion regarding decisions

The Services must in no case be used as the sole basis for an investment decision, an M&A transaction, a financing, a divestment, or any strategic or economic decision.

Exclusion of liability

The Company cannot be held liable for financial losses, loss of opportunity, loss of data, indirect or intangible damages.

12. Liability of the User

The User remains solely responsible for the use of the Outputs, their interpretation, their distribution, and the decisions taken on their basis.

The User undertakes to use the Software in compliance with the laws, regulations and rights of third parties, in good faith and in accordance with its intended purpose.

13. Obligations of the User

The User undertakes to use the Software only to obtain information for a purpose that complies with public order, public morals and the rights of third parties.

It is prohibited to publish or transmit through the Software any content that is unlawful, harmful, defamatory, pornographic, hateful, racist or otherwise an affront to human dignity.

The User undertakes not to send viruses, spam, chain mail or unsolicited offers, and not to carry out reverse engineering, prompt injection, or use automated systems to extract data.

14. Intellectual property

The Software, its components, databases, algorithms and methodologies are the exclusive property of the Company.

The Outputs may be used freely by the User, under their sole responsibility.

The User warrants that they hold the necessary rights to any content transmitted.

15. Forbearance

The fact that the Company tolerates a situation does not have the effect of granting the User any acquired rights. Such forbearance cannot be interpreted as a waiver of the right to assert the rights in question.

16. Severability

If one or more of the clauses of the Terms were declared null and void, they would be deemed unwritten, which would not affect the validity of the Terms and their other clauses, which would continue to apply.

17. Address for service

For the performance of this agreement, the User agrees to send any correspondence to the Company's postal address: 74 rue du Rocher, 75008 Paris.

18. Language

The French version prevails over any translation.

19. Governing law and jurisdiction

These Terms are governed by French law.

Any dispute falls within the exclusive jurisdiction of the courts of Paris, unless a mandatory provision states otherwise.
